Quickbase Director, Corporate Development in Remote, United States

DIRECTOR, CORPORATE DEVELOPMENT

Job Summary:

Reporting to the SVP, Legal & Corporate Development, the Director, Corporate Development will work on strategy development and the identification, evaluation and execution of company mergers, acquisitions, and partnerships to generate growth for Quickbase. This position will play a highly visible role in Quickbase’s Corporate Development activities, working with cross functional teams to develop transaction rationale and business plans.

Key Responsibilities Include:

Strategy Development

· Market Analysis: Conduct thorough market research to identify trends, opportunities, and threats. This involves analyzing competitors, potential acquisition targets, and market segments that align with the company's growth objectives.

· Growth Strategy: Work closely with senior management to develop and refine the company’s growth strategy. This includes modeling and identifying key areas for expansion, potential products or services to add, and markets to enter.

Mergers and Acquisitions (M&A)

· Deal Analysis: Analyze and valuate company, company customer and supplier relationships, review other potential buyers, definitive agreements, and manage data room; determine risk assessments.

· Financial Modeling and Valuation: Create revenue, expense, and cash flow projections for companies, valuing them and creating offer strategies.

· Deal Governance: Manage Quickbase M&A governance process and construct analytical frameworks to facilitate go/no-go decisions and creating an M&A model for the company .

· Identifying Targets: Lead the effort in identifying potential acquisition targets that align with the company’s strategic goals. This involves evaluating their financial health, market position, and compatibility with our culture and objectives.

· Due Diligence: Coordinate the due diligence process to thoroughly assess the legal, financial, and operational aspects of potential acquisition targets. This is critical for identifying any risks or issues before finalizing any deal.

· Negotiations: Participate in or lead the negotiation process with potential acquisition targets. This involves discussing terms, valuations, and other key deal parameters.

· Transaction Structuring: Lead transaction structuring with Legal, Finance, Tax and other stakeholders; i dentify and evaluate operational and financial impacts of the combined entity; clearly communicate risks and risk mitigation strategies.

· Integration Planning: Work with teams across Quickbase to lead the integration of the acquired company. This includes setting milestones, integration goals, and ensuring a smooth transition of systems, processes, and people;.

· Deal Management: This individual is also expected to manage M&A deal flow by maintaining a pipeline, proactively contacting targets and evaluating deals sent to Quickbase, and building relationships with investment bankers to keep Quickbase top-of-mind in the marketplace.

Partnership Development and Management

· In addition to acquisitions, explore strategic partnerships and alliances that can accelerate growth. This might involve negotiating joint ventures or collaboration agreements with other companies.

Relationship Management

· Maintain regular communication with key stakeholders both internally (e.g., department heads, executive team) and externally (e.g., investment banks, consulting firms, legal advisors). This role will align various interests and ensure stakeholders are informed and supportive of corporate development initiatives.

Basic Qualifications

· A minimum of 7-8 years of relevant M&A/corporate finance experience within one of the following contexts: corporate development, investment banking, private equity, or venture capital, preferably in software/technology/information services or a related industry.

· At least 5 years of experience operating in an accelerated M&A lifecycle model.

· At least 5 years of experience in leading or playing a key role in deal processes from concept to completion, including the ability to negotiate and execute entire transactions or elements of a value enhancing transaction.

Preferred Qualifications

· Low-Code/No-Code technology experience.

· Strong quantitative and analytical skills and proficiency in financial modeling, valuation and business case building.

· Highly proficient in using Excel, PowerPoint, Lucid and similar tools, and proven ability to develop compelling presentations, write reports and effectively deliver the same to audiences of varying seniority to gain organizational commitment and alignment; ability to balance listening and advocacy to achieve decisions that are well supported.

· Strong work ethic, with an effective combination of business acumen, sound decision-making, and a bias for action; ability to act in a decisive, urgent and committed way to achieve results; remain focused on deliverables and leverage resources to reach goals.

· Ability to synthesize large amounts of information, identify issues, and recommend solutions proactively.

· Effective at building strong and collaborative internal and external relationships and professional networks.

· Four-year college degree; MBA preferred.

· Ability to travel as circumstances demand.
